Article 1 — Purpose

These Terms of Use ("Terms") govern access to and use of the EazyMirror.com and Insights.EazyMirror.com services (together, the "Services"), published by Getratex SA, a Swiss company with its registered office at 4a chemin de la Paumière, CH-1231 Conches ("Getratex", "we"). Any use of the Services implies full and unreserved acceptance of these Terms.

Article 2 — Description of the Services

EazyMirror enables the creation and distribution of 360° surveys, the collection of responses and the reporting of individual and aggregated scores. Insights EazyMirror is an optional service for the advanced analysis of the data thus collected, based exclusively on anonymised data. Getratex reserves the right to change, add or remove features at any time, making reasonable efforts to give prior notice of substantial changes.

Article 3 — User account

The user is solely responsible for the confidentiality of their login credentials and for any activity carried out from their account. The user undertakes to inform Getratex without delay of any suspected unauthorised use.

Article 4 — Authorised use of the Service

The user undertakes not to use the Services to collect data for unlawful, discriminatory or defamatory purposes or purposes contrary to public order, nor to harass, intimidate or undermine the dignity of respondents. The user is solely responsible for the content of the questionnaires they create.

Article 5 — Intellectual property

The content of the website (texts, logos, structure, code), excluding the data and content submitted by the user, is the exclusive property of Getratex SA and may not be reproduced without prior written authorisation. The user retains ownership of the data they collect through the Services, subject to Getratex's right to process it in accordance with the Privacy policy.

Article 6 — Data protection

The processing of personal data is governed by the Privacy policy, which forms an integral part of these Terms.

Article 7 — Prices and payment

The applicable prices are those published on the Pricing page and may be changed at any time for new subscriptions; any price change does not affect a period already paid for. Unless expressly provided otherwise, amounts paid are non-refundable.

Article 8 — Availability of the Service

Getratex uses reasonable means to ensure the availability and security of the Services, without guaranteeing uninterrupted or error-free operation. Interruptions for maintenance may occur, with reasonable notice where possible.

Article 9 — Warranties and limitation of liability

The Services are provided "as is" and "as available". To the extent permitted by applicable law, Getratex excludes any implied warranty of merchantability or fitness for a particular purpose.

Getratex shall not be liable for: managerial, HR or organisational decisions taken by the user on the basis of the results, scores or analyses produced by the Services; any indirect or consequential damage, loss of profit, data or business opportunity, even if Getratex has been informed of the possibility of such damage; any interruption, alteration or loss of data resulting from force majeure, a failure of a technical subcontractor, or use of the Services by the user that does not comply with these Terms.

In all cases, Getratex's total liability towards a user, for all causes combined, is capped at the total amount paid by that user for the Services during the twelve (12) months preceding the event giving rise to the liability. Nothing in these Terms excludes Getratex's liability where Swiss law or any other applicable mandatory law prohibits such exclusion.

Article 10 — Indemnification

The user shall indemnify Getratex against any third-party claim resulting from the content they have submitted through the Services or from any use of the Services contrary to these Terms or to the law.

Article 11 — Termination

The user may stop using the Services at any time. Getratex may suspend or terminate a user's access in the event of a serious or repeated breach of these Terms, after notification where circumstances reasonably permit.

Article 12 — Changes to the Terms

Getratex may amend these Terms at any time; continued use of the Services after publication of a new version constitutes acceptance.

Article 13 — Governing law and jurisdiction

These Terms are governed by Swiss law. The provisions of this article relating to mediation and arbitration apply to disputes in which the amount at stake exceeds CHF 5'000.-. Below this amount, any dispute falls within the exclusive jurisdiction of the ordinary courts of the Canton of Geneva.

Subject to any contrary mandatory provisions applicable to a consumer user, all disputes, controversies or claims arising out of or in relation to these Terms, including their validity, invalidity, any breach or termination thereof, shall be submitted to mediation in accordance with the Swiss Rules of Commercial Mediation of the Swiss Chambers of Commerce in force on the date on which the request for mediation is submitted in accordance with these Rules. The seat of the mediation shall be Geneva, and the mediation shall be conducted in French or English, depending on the usual language of interaction between the parties.

If the dispute has not been fully resolved by mediation within 60 days of the confirmation or appointment of the mediator by the Chambers, it shall be settled by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Chambers of Commerce in force on the date on which the notice of arbitration is submitted in accordance with these Rules. The number of arbitrators shall be one. The seat of the arbitration shall be Geneva, and the arbitration shall be conducted in French or English, depending on the usual language of interaction between the parties. The arbitration shall be decided ex aequo et bono in accordance with the rules of the Expedited Procedure.

Article 14 — Miscellaneous

If any clause of these Terms is held to be invalid, the other clauses shall remain fully applicable. These Terms constitute the entire agreement between the user and Getratex concerning the use of the Services.
